Terms & Conditions

1. Scope

INFYANCE provides B2B services: IT consulting, web development (Wix/Webflow), analytics (GA4/Looker), and ads.

2. Process

• MSA + SOW with scope, timelines, KPIs.

• Secure sharing of access; mutual confidentiality and NDA.

• Deliverables accepted upon sign-off or email confirmation.

3. Payment

• Standard: 50% upfront, 50% on milestones/acceptance. NET 7–14.

• Payments via SEPA bank transfer. Client bank fees borne by client.

• Work may be paused in case of non-payment.

4. IP

IP transfers to client after full payment. Third-party licenses remain under their terms.

5. Warranty & limitations

Best practices and agreed KPIs, but no guaranteed ROAS without explicit SOW terms.

6. Confidentiality & data

Both parties protect trade secrets and personal data according to GDPR.

7. Liability

Aggregate liability limited to fees paid by client in the last 3 months.

8. Subcontracting

Vetted subcontractors may be engaged; INFYANCE remains responsible.

9. Termination

By 14-day notice or per SOW. Client pays for completed work; handover after settlement.

10. Governing law

French law. Paris jurisdiction unless agreed otherwise.
